Terms of Service

1. Acceptance of Terms

By accessing or using MFKVault ("the Platform"), operated by MFK Group Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform after any changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

2. Description of Service

MFKVault is an AI skills marketplace that enables users to discover, purchase, sell, and share skills designed for AI agents including Claude, Codex, Cursor, and OpenClaw. The Platform provides:

• A marketplace for browsing and purchasing AI agent skills
• Tools for sellers to submit, manage, and monetize their skills
• Security scanning and verification badges for listed skills
• An MCP (Model Context Protocol) server for programmatic access
• User accounts for buyers and sellers

3. User Accounts and Responsibilities

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old or the age of majority in your jurisdiction to create an account and use the Platform.

4. Seller Obligations

If you sell skills on MFKVault, you agree to the following obligations:

• Safety: All skills must be safe to use and free from malicious code, malware, viruses, or any harmful components
• No Data Theft: Skills must not collect, transmit, or store user data without explicit disclosure and user consent
• Accuracy: Skill descriptions must accurately represent functionality and capabilities
• Compliance: Skills must comply with all applicable laws and regulations
• Support: Sellers should provide reasonable support for their skills
• Updates: Sellers are responsible for maintaining and updating their skills

Violation of these obligations may result in immediate removal of skills and termination of your seller account.

5. Buyer Obligations

If you purchase skills on MFKVault, you agree to:

• Use purchased skills only for their intended purpose
• Not redistribute, resell, or share purchased skills without authorization
• Not reverse engineer, decompile, or attempt to extract source code from skills
• Report any security issues or bugs discovered in purchased skills
• Respect the intellectual property rights of skill creators

6. Revenue Split and Payments

For paid skills sold on MFKVault, the revenue split is as follows:

Payments are processed through Stripe. Sellers must provide valid payment information to receive payouts. All transactions are subject to Stripe's terms of service.

Refund Policy

We offer refunds within 7 days of purchase only if:

• The skill fails to work as described in its listing
• The skill contains malicious code or undisclosed data collection

Refunds are not available for change of mind, different expectations, or skills that work as described. See our full Refund Policy for complete details.

7. Prohibited Content and Conduct

The following content and conduct are strictly prohibited on MFKVault:

• Malicious Code: Viruses, malware, trojans, ransomware, or any harmful software
• Data Scrapers: Skills designed to scrape, harvest, or collect data without authorization
• Credential Theft: Skills that capture, store, or transmit user credentials or API keys
• Illegal Activity: Skills that facilitate illegal activities or violate laws
• Spam: Skills that send unsolicited messages or advertisements
• Impersonation: Skills that impersonate other services, companies, or individuals
• Intellectual Property Violation: Skills that infringe on copyrights, trademarks, or patents

8. Security Vetting Disclaimer

MFKVault provides security scanning and verification badges for skills listed on the Platform. These badges include:

• Verified: Skill has passed our security review
• Scanned: Skill has been automatically scanned
• Unvetted: Skill has not yet been reviewed

Important: Security badges are provided for informational purposes only and do not constitute a guarantee of safety or security. While we make reasonable efforts to identify potential security issues, no security review is exhaustive. Users should exercise their own judgment and conduct their own due diligence before installing or using any skill.

9. Intellectual Property

Seller Ownership: Sellers retain full ownership and intellectual property rights to the skills they create and submit to MFKVault. By listing a skill, sellers grant MFKVault a non-exclusive license to display, distribute, and promote the skill on the Platform.

Platform Content: The MFKVault name, logo, website design, and original content are the property of MFK Group Inc. and are protected by copyright and trademark laws.

10. Termination of Accounts

We reserve the right to suspend or terminate your account at any time, with or without cause, including but not limited to:

• Violation of these Terms of Service
• Fraudulent or illegal activity
• Submission of malicious or prohibited content
• Abuse of the Platform or other users
• Request by law enforcement or government agency

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination will survive.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MFK GROUP INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

We do not guarantee that the Platform will be error-free, uninterrupted, or free from harmful components. The Platform and all skills are provided "as is" without warranties of any kind.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved exclusively in the courts of Ontario, Canada.
